Agreement and scope

These Terms of Use (“Terms”) form an agreement between you and the operator of Sonikr (“Sonikr,” “we,” “us,” or “our”). They apply to the Sonikr website, Sonikr Media Hub desktop application, and related features and services that link to these Terms (together, the “Services”).

Additional terms may apply to a particular purchase, promotion, beta feature, platform, or service. If additional terms conflict with these Terms, the additional terms control for that specific offering.

Eligibility and accounts

You must be legally capable of entering into a binding agreement in your jurisdiction. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Some features may require an account. You must provide accurate information, keep your credentials confidential, and notify us promptly if you believe your account has been accessed without authorization. You are responsible for activity occurring through your account unless applicable law provides otherwise.

Software license

Subject to these Terms and any applicable purchase terms, Sonikr grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Sonikr Media Hub for your personal or authorized internal business use.

The Services are licensed, not sold. Sonikr and its licensors retain all rights, title, and interest in the software, website, designs, documentation, trademarks, and other materials, excluding content that belongs to you or others.

You may not copy, distribute, rent, lease, sell, sublicense, modify, create derivative works from, reverse engineer, decompile, or attempt to extract source code from the Services except where applicable law expressly permits such activity despite this restriction.

Purchases, licenses, and renewals

Prices, included features, device limits, license duration, renewal terms, and taxes are presented at checkout or in the applicable order information. You agree to pay the charges shown when you complete a purchase.

If you purchase an automatically renewing plan, it will renew at the disclosed interval until canceled. You may cancel future renewals through the method provided with your account, order confirmation, or payment provider. Cancellation normally stops future charges and does not retroactively refund the current billing period unless required by law or stated in the applicable purchase terms.

Refund eligibility is governed by the refund terms shown at purchase and any mandatory rights available under applicable consumer law. Payment processing may be provided by a third party whose terms also apply.

Your media and content

You retain ownership of media files, playlists, metadata, artwork, and other content that you add to or create through the Services (“Your Content”). These Terms do not transfer ownership of Your Content to Sonikr.

You represent that you have the rights and permissions necessary to use, copy, access, stream, and share Your Content through the features you choose. Sonikr does not grant you rights to media or other content owned by third parties.

You grant Sonikr a limited permission to process Your Content only as reasonably necessary to provide, secure, and support the features you choose, such as generating a library view, enabling Remote Access, or delivering a Shared Link. This permission ends when the relevant processing is no longer needed, subject to reasonable technical and legal retention requirements.

Remote Access and Shared Links

Connected features may allow you to access Your Content from another device or make selected content available to other people. You are responsible for configuring these features, selecting appropriate permissions, protecting access information, and disabling access when it is no longer needed.

• Do not create or distribute links to content you are not authorized to share.
• Consider expiration and download settings before sending a Shared Link.
• Do not attempt to use Remote Access to access another person’s device, account, or library without permission.
• Anyone with a valid Shared Link may be able to access the selected content until the link expires or is deleted.

We may limit or disable a connected feature when reasonably necessary to protect users, the Services, or third parties.

Acceptable use

You may not use the Services to:

• violate law, regulation, court order, contract, intellectual property rights, privacy rights, or other rights;
• upload, access, distribute, or share unlawful, infringing, deceptive, harmful, or abusive material;
• circumvent licensing, access controls, security, usage limits, or technical protections;
• introduce malware, disrupt the Services, overload infrastructure, or interfere with another user;
• probe, scan, or test a system for vulnerabilities without written authorization;
• use automated means to scrape or extract data except as expressly allowed by us;
• misrepresent your identity or falsely imply endorsement by Sonikr.

Third-party services and content

The Services may link to, integrate with, or rely on third-party websites, payment providers, operating systems, codecs, network services, or other technology. Third-party services are governed by their own terms and privacy policies.

Sonikr does not control third-party services and is not responsible for their content, availability, security, or practices. Changes made by a third party may affect an integration or feature.

Updates and service availability

We may provide updates, patches, new versions, or changes to the Services. Updates may be required for security, compatibility, or continued access to certain features. Some features may change, be limited, or be discontinued as the product develops.

We aim to provide reliable Services but do not promise uninterrupted or error-free availability. Maintenance, network conditions, security events, third-party changes, or circumstances outside our reasonable control may affect availability.

Suspension and termination

You may stop using the Services at any time. You may also request account deletion, subject to transaction records or other information we must retain.

We may suspend or terminate access if you materially or repeatedly violate these Terms, create a security or legal risk, fail to pay applicable charges, or use the Services in a way that may harm Sonikr, other users, or third parties. Where appropriate, we will provide notice and an opportunity to address the issue.

Provisions that by their nature should survive termination will remain in effect, including ownership, payment obligations, disclaimers, limitations of liability, and dispute provisions.

Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Sonikr disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Services will meet every requirement, preserve every file or metadata field, remain compatible with every device or format, or operate without interruption or error. You are responsible for maintaining independent backups of important media and library data.

Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Sonikr and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising from or related to the Services.

To the maximum extent permitted by law, Sonikr’s total liability for claims relating to the Services will not exceed the greater of the amount you paid to Sonikr for the affected Service during the 12 months before the event giving rise to the claim or USD 100.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited or excluded.

Indemnity

To the extent permitted by law, if you use the Services on behalf of a business or organization, that organization will defend and indemnify Sonikr against third-party claims, damages, and reasonable costs arising from its unlawful use of the Services, violation of these Terms, or infringement of another person’s rights.

This section does not apply to individual consumers where such an obligation is prohibited by applicable law.

Governing law and disputes

These Terms are entered into between you and Sonikr Limited, a company incorporated in the Hong Kong Special Administrative Region ("Sonikr", "we", "us"). These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws principles.

You agree that the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Services.

Nothing in these Terms limits any mandatory right to bring a claim in your place of residence or to use a consumer protection process that applies to you.

Changes to these Terms

We may update these Terms to reflect changes to the Services, our business, or applicable law. We will post the revised Terms and update the effective date. If a change is material, we may provide additional notice. Your continued use after updated Terms take effect means you accept them, except where law requires a different form of consent.
